What is Over-the-Counter (OTC) Trading

Over-the-Counter (OTC) trading in cryptocurrency refers to the direct buying and selling of large volumes of digital assets between two parties,  typically facilitated by an OTC desk or broker outside of traditional public exchange order books. OTC trading is designed specifically for large transactions that would cause significant price impact (slippage) if executed through standard exchange order books.

WHY LARGE TRADES NEED OTC

On a public exchange, a large market order to buy $10 million worth of Bitcoin consumes available sell orders at progressively higher prices,  causing the average purchase price to be significantly above the current market price. This price impact is called slippage. For a $10M Bitcoin purchase on a moderately liquid exchange, slippage could cost $100,000-$500,000 in additional purchase price. OTC desks source liquidity from multiple counterparties simultaneously and execute the entire transaction at one negotiated price with zero visible market impact.

HOW OTC DESKS WORK

A client contacts an OTC desk and requests a quote for buying or selling a specific amount of cryptocurrency. The OTC desk uses its network of market makers, exchanges, and institutional counterparties to aggregate liquidity and offer a firm price valid for a short window (30 seconds to a few minutes). If the client accepts, the trade settles directly, and  the OTC desk delivers cryptocurrency to the client's wallet and receives payment, or vice versa. Settlement is typically same-day or next-day for institutional clients.

WHO USES OTC TRADING

  • Institutional Investors: Hedge funds, family offices, and asset managers acquiring large Bitcoin positions for portfolio allocation.

  • Mining Companies: Bitcoin miners selling large quantities of mined BTC without moving market prices.

  • High-Net-Worth Individuals: Whales making seven-figure+ transactions.

  • Exchanges: OTC desks source inventory for their own liquidity needs.
