The Dogecoin Foundation has ended its exclusive trademark licensing agreement with Nasdaq-listed House of Doge (HODO). The termination took effect on October 19, 2026.
The company must pay a $400,000 termination fee, and Labs is now the Foundation’s new official business partner. The change matters because it decides who can use branding in commercial products.
| Key development | Confirmed details |
| Agreement termination | Effective October 19, 2026 |
| Termination payment | $400,000 payable to the Foundation |
| HODO rebranding | Corporate name changes required before December 31, 2026 |
| New official business partner | Dogecoin Labs |
| Existing investment products | Three 21Shares investment products keep limited, non-exclusive trademark rights |
| Such App asset transfer | About $4 million in Labs shares; not yet closed |
The payment has no fixed date, and the asset transfer still depends on closing conditions.
According to the company’s Form 8-K filed with the U.S. Securities and Exchange Commission (SEC), both sides agreed to end the Amended and Restated Trademark License Agreement dated May 7, 2025. The termination agreement was signed on October 19, 2026.
The firm lost its exclusivity, sublicense rights, partnership titles and board representation rights under the old deal. House of Doge Inc. and its controlled subsidiaries must also change their names before December 31, 2026. They must stop calling themselves the Foundation’s “Official Corporate Arm” or “Official Commercial Partner.”
The filing gives no reason for the split. It does not suggest wrongdoing by either side.

The company’s U.S. unit agreed to pay $400,000. The money is due only when the company has enough funds. It can pay in cash, in shares of its common stock, or in a mix of both. Share payments would be priced using the five-day volume-weighted average price before the payment date.
The company says it has not decided when funds will be available. Until the full amount arrives, accrued payment claims under the old agreement stay open. If the company fails to pay within ten business days after notice, the Foundation could end the new license. The fee has not been confirmed as paid.
Wu Shuo reported that Labs is now the Foundation’s official business partner. The 8-K describes a related deal. The U.S. unit plans to hand Labs, which operates under ABJ Labs Inc., the assets behind the Such App mobile application. These include source code, domains, cloud accounts and app-store listings.
In return, it would receive Labs shares worth $4 million, based on a $120 million pre-money valuation. This deal has not closed. It needs consent and lien releases from secured lenders, plus the transfer of key assets. Either side may walk away if closing does not happen within 30 days after October 19, 2026.
Is House of Doge losing every right to the brand? No. A new three-year license, running to October 19, 2029, covers three existing 21Shares products: the Dogecoin ETF (TDOG), the Dogecoin ETP (DOGE) and the 2x Long Dogecoin ETF (TXXD).
The rights are non-exclusive. They do not cover corporate names, merchandise or payment products. New products need written approval from the Foundation.

The Such App transfer is still pending, so Labs does not yet own those assets. The filing also reports a leadership change at the company, with Curt Hopkins named interim CEO and CFO on October 22, 2026.
A trademark deal is a business contract. It is not a change to the Dogecoin blockchain. The filing does not announce any change to token supply, tokenomics, network operation or transaction rules.
The new partnership may still matter for the wider Dogecoin ecosystem, because it shows who the Foundation trusts to build commercial products. Even so, the $400,000 fee and the $4 million share swap are small corporate items. They should not be read as bullish or bearish price signals, and no Dogecoin price reaction has been confirmed.
Readers should watch for three things: whether the Such App transfer closes, whether the fee is paid, and any official Foundation announcements.
Three points stand out. The exclusive House of Doge agreement has ended. The $400,000 fee and the Such App transfer are not confirmed as complete. Labs is the new official partner, while the firm keeps limited rights for three existing products. Next, check for the closing of the asset transfer.
