Tokenization news in crypto space arrived on November 2, 2026, when tZERO Group announced a definitive business combination agreement with FG Imperii Acquisition Corp. (Nasdaq: FGII), a special purpose acquisition company (SPAC).
The tZERO SPAC merger would list the tokenization infrastructure provider on NYSE American under the ticker TZRO. The agreement is dated October 31, 2026, and closing is targeted for early 2027.

The company shared the update first in an official X post, calling it a defining moment. CEO Alan Konevsky said the deal delivers the more independent footprint the firm had discussed for its next phase.
The update also says it will explore on-chain trading, custody, and utility use alongside the exchange listing.
According to the SEC Form 8-K filed by FG Imperii, the pre-money equity value is $350 million. That includes $325 million in FG Imperii Class A shares priced at $10.00 each, plus 2.5 million earn-out shares worth up to $25 million at the same price.
The tZERO SPAC merger places those shares in escrow and splits them into two equal tranches.
Tranche | Shares | Trigger | Window |
Derivatives | 1,250,000 | Approval of pending CFTC applications, a commercial launch of regulated crypto derivatives or an event-contract, or a qualifying license or partnership deal | Four years after closing |
Profitability | 1,250,000 | Positive aggregate adjusted EBITDA in two separate three-month periods | 12 months after closing |
Unearned shares return to FG Imperii and are cancelled. A change of control would release all remaining shares at once, the filing says. Because the first tranche runs four years, it depends on regulatory progress as much as on company execution.
The combined company may receive up to about $231 million from the FG Imperii trust account, the company press release states.

That amount is before expenses and depends on redemptions by public shareholders. An FG Imperii affiliate also added capital to an earlier funding round.
Existing shareholders are expected to roll 100% of their equity, with no cash exit.
Holders of about 62% of fully diluted capital signed support agreements.
FG Merchant Partners LP signed a term sheet for a forward purchase of up to 2.5 million shares.
The SPAC sponsor agreed to vote in favor of the deal, and a lock-up will limit some share transfers after closing.
Management plans to use net proceeds to strengthen the balance sheet, expand regulated infrastructure, and back new crypto partnerships.
The boards of both companies approved the deal unanimously. Konevsky and the current team are expected to keep leading the combined company. Chardan is the exclusive financial advisor, while Lowenstein Sandler LLP is the company’s legal advisor.
The company positions itself as an Infrastructure-as-a-Service (IaaS) provider for tokenized securities, derivatives, and other digital assets. Institutions can use its tools through API and white-label access instead of building their own regulatory layer.
On derivatives, tZERO holds a CFTC derivatives clearing registration and has a pending designated contract market (DCM) application. It also cites more than 100 early-dated blockchain patents, and the FG Imperii website has more on the SPAC.
Closing needs shareholder approvals, regulatory consents, an effective Form S-4, and NYSE American listing approval. Either side may end the agreement if conditions remain unmet by March 15, 2027.
Redemptions could also shrink the trust cash, so readers tracking crypto news should watch the Form S-4 once it is filed.
For now, the tZERO SPAC merger remains a proposal, not a completed listing. Follow this latest crypto update for new filings from both companies.
